Application and Binding Agreement.CLICKING SIGN UP BELOW CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE, YOU MAY NOT ACCESS OR USE THIS APPLICATION (API). You, as used herein, refers to the entity on whose behalf the user is acting in accessing this API. ACS reserves the right to revise these terms at any time by posting revised terms to this API, and your use after such change signifies your acceptance of the changed terms. Please check these Terms of Use periodically for changes.

Evaluation License.You are enrolling for an evaluation use of the API for a period of 15 days (Evaluation Period) at no cost. Subject to the terms and conditions of this Agreement, ACS grants you a non-exclusive and limited license to access the API and the Content for the sole and limited purpose of evaluating the API and Content to determine whether you will enter into a license agreement to make further use of the API and Content (Purpose). The API and Content can only be accessed by your employees during the Evaluation Period and only for the Purpose. You shall make no other or further use of the API or Content other than as specifically allowed in this Section and all such licenses and rights to use the Content shall terminate upon termination or expiration of this Agreement for any reason whatsoever. You shall destroy all copies of the Content upon termination or expiration of this Agreement. Any use of the API or Content not expressly permitted by this Agreement is prohibited.

Ownership. ACS maintains all ownership rights (including copyright) in and to the API and the Content, which has been developed at private expense. All ownership rights of the Content and API, including intellectual property rights therein, shall vest and remain solely in ACS. You acknowledge that the API and Content incorporate confidential information of ACS and you shall only use ACS confidential information as allowed under this Agreement and shall not disclose it to any third-party.

Scope. The contents of the API, such as text, graphics, interactive tools, calculations, images and other material contained on the API (Content) are for informational purposes only. The Content is not intended to be a substitute for professional medical advice, diagnosis, treatment or medication plans, or potential outcomes related thereto. The API does not replace the advice of a physician or other qualified health provider regarding a medical condition.

Costs. You bear all costs associated with access to and use of the API and Content.

Changes.ACS reserves the right to make updates, modifications and changes or discontinue any aspect or feature of the API, including without limitation Content, hours of availability, and equipment required for access or use. ACS will have no liability whatsoever for costs or expenses incurred by you as result of such changes.

Ownership. Downloading Content from this API does not give you title to such Content, including any files, data and images incorporated in or associated with the Content. Accordingly, you acknowledge that you shall use any such Content only in accordance with the license agreement executed between you and ACS. You shall restrict access to the API to your employees, solely as required for your internal business purposes. Without limiting the generality of the foregoing, you may not sell, rent, loan or otherwise grant any rights in or to the API, or permit any other party to do so. Content available on this API is copyrighted by the ACS or its owner.

Passwords. You are responsible for maintaining the confidentiality of your passwords and accounts, and for all activities that occur under your accounts.

Personal Health Information. This API does not include any personal health information (PHI). You agree not to transmit or submit to ACS through the API or otherwise any PHI.

Limitation of Liability. YOUR USE OF THE API AND THE CONTENT IS AT YOUR OWN RISK. NEITHER ACS NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, CONTRIBUTING TO, OR DELIVERING THE API IS LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE API. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE API IS PROVIDED TO YOU ON AN "AS IS" BASIS, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, ACS WILL HAVE NO LIABILITY WHATSOEVER, IN ANY FORM OR OF ANY KIND, FOR TECHNOLOGY OR CONTENT CREATED BY YOU USING THE API OR CONTENT.

Termination. ACS reserves the right to terminate your access to the API in the event of your breach of this Agreement.

Miscellaneous.The validity, construction and enforcement of this Agreement shall be determined in accordance with the laws of Illinois, without reference to its conflicts of laws principles. This Agreement is the entire and complete understanding between the parties in regard to the covered subject matter. This Agreement is not assignable by you.
